Terms and Conditions

These Terms and Conditions (“Agreement”) constitute a legally binding contract between SOUFTAT (“the Company”) and the User (“you”). By accessing or using the SOUFTAT platform, services, or any associated applications (collectively, “the Service”), you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

If you do not agree to these Terms, you must cease using the Service immediately.

1. Legal Effect and Acceptance

1.1. The Service is solely owned and operated by SOUFTAT.

1.2. Your access to and use of the Service is strictly conditioned upon your full acceptance of this Agreement.

1.3. Any additional terms or conditions issued by you in any manner (communication, documentation, etc.) shall have no legal effect unless expressly accepted in writing by SOUFTAT.

2. Amendments

2.1. SOUFTAT reserves the unrestricted right to amend, modify, or update this Agreement at any time.

2.2. Amendments become effective immediately upon being posted on the Service or upon reasonable notice to you.

2.3. Continued use of the Service following any amendment constitutes your express acceptance of the revised Agreement.

3. License to Use the Service

3.1 Grant of License

SOUFTAT grants you a limited, revocable, non-exclusive, non-transferable license to use the Service strictly in accordance with this Agreement.

3.2 Conditions of Use

You agree to the following:

a. SOUFTAT may, at its sole discretion and without prior notice, suspend, restrict, or terminate your access if your use:

  • violates policies or guidelines
  • is unlawful, harmful, or inappropriate
  • imposes risks or burdens on the platform

b. SOUFTAT shall not be liable for any refunds in cases of suspension arising from misuse or breach.

c. You must comply with all policies, technical requirements, and content standards issued by SOUFTAT.

d. You shall not:

  • sublicense, share, or transfer access to third parties
  • interfere with servers, networks, security, or code
  • reverse engineer, copy, sell, or resell the Service
  • overload or attempt to damage infrastructure

e. SOUFTAT may modify, suspend, or discontinue the Service at any time without liability.

f. You bear full responsibility for any content (“User Content”) you upload, ensuring it does not violate laws or third-party rights.

g. You warrant you have full legal authority to enter into this Agreement.

h. SOUFTAT may reference you as a customer for marketing purposes unless you request otherwise in writing.

i. You are responsible for the hardware/software required to access the Service.

j. SOUFTAT may freely use any feedback you submit to improve its products.

4. Payment Terms

4.1. Subscription fees must be paid in accordance with the pricing structure selected by you.

4.2. Fees may be billed monthly, quarterly, semi-annually, or annually.

4.3. Subscriptions may auto-renew unless cancelled prior to renewal.

4.4. SOUFTAT is not obligated to provide renewal reminders.

4.5. You authorize SOUFTAT to charge applicable taxes as required by law.

4.6. Non-payment or failed payment may result in immediate suspension or termination.

5. Termination

5.1. SOUFTAT may terminate your account immediately and without notice in the event of breach.

5.2. Termination also occurs automatically upon subscription expiry if not renewed.

5.3. SOUFTAT may retain or delete your data at its discretion following termination.

5.4. In cases of lapse due to non-renewal, reactivation may be permitted subject to conditions or fees.

6. Data Ownership and Privacy

6.1. You retain ownership of all content and data uploaded by you (“User Data”).

6.2. All other data generated by the system, including aggregated analytics (“SOUFTAT Data”), is owned exclusively by SOUFTAT.

6.3. You grant SOUFTAT the right to store, process, transfer, or access your data in Canada or other jurisdictions as required for service delivery.

6.4. The Privacy Policy is deemed an integral part of this Agreement.

7. Account Security

7.1. You are solely responsible for maintaining the confidentiality of your credentials.

7.2. Any activity conducted under your credentials shall be deemed your responsibility.

7.3. You must promptly notify SOUFTAT of any unauthorized access or breach.

8. Indemnification

You agree to fully indemnify and hold harmless SOUFTAT and its affiliates from any claims, damages, losses, costs, or expenses (including legal fees) arising from:

  • your use of the Service
  • your breach of this Agreement
  • your violation of any rights or laws

9. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

SOUFTAT expressly disclaims any warranties regarding:

  • accuracy or completeness
  • reliability or availability
  • freedom from errors, viruses, or interruptions
  • fitness for a particular purpose
  • data security or preservation

10. Limitation of Liability

To the maximum extent permitted by law:

10.1. SOUFTAT shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages.

10.2. If liability cannot be excluded, SOUFTAT’s total liability shall not exceed:

  • the equivalent of one monthly subscription fee OR
  • USD 1,000

whichever is lower.

11. Force Majeure

SOUFTAT shall not be liable for failure to perform due to events beyond its reasonable control, including but not limited to:

  • natural disasters
  • war or terrorism
  • government restrictions
  • labor disputes
  • internet or communication failures

12. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction specified by SOUFTAT.

Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
